Welcome to SetFlip! These Terms of Service ("Terms") govern your use of the SetFlip platform, including our website, services, features, tools, and any associated content (collectively, the "Service"). By accessing or using SetFlip, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Service.
1. Eligibility
To use SetFlip, you must be at least 18 years old and capable of entering into legally binding agreements. By using the Service, you represent and warrant that you meet these requirements.
2. Account Registration
You may be required to create an account to access certain features.
You agree to provide accurate and current information during registration and to keep it updated.
You are solely responsible for activity under your account, including any misuse or unauthorized access.
SetFlip reserves the right to suspend or terminate accounts at its sole discretion.
3. User Content and Listings
Users may submit text, photos, videos, contact information, and other content ("User Content") including classified ads, messages, comments, reviews, ratings, and offers.
By submitting content, you agree:
You own the rights to the content or have permission to use it.
The content is truthful, legal, and not misleading.
The content does not violate any intellectual property, privacy, or other rights.
You grant SetFlip a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service.
Prohibited Content includes but is not limited to:
Fraudulent, misleading, or illegal listings
Hate speech, harassment, or offensive material
Stolen vehicles or items, weapons, drugs, or restricted goods
Spam or repetitive/duplicate posts
SetFlip reserves the right to remove or moderate any content at any time.
4. Dealer Accounts and Business Pages
Businesses and dealers may create dedicated accounts with enhanced features, including landing pages, reviews, ratings, and promotional tools. By registering as a dealer:
You affirm you are authorized to represent the business.
You must comply with all applicable laws regarding advertising, sales, and representations.
You are solely responsible for the accuracy and legality of your listings and offers.
SetFlip is not responsible for disputes or misrepresentations by business users.
5. Messaging, Offers, Comments, and Interactions
SetFlip offers an internal messaging system, Q&A, reactions, offers, and comments features. You agree to use these tools respectfully and lawfully.
You may not:
Harass, threaten, or abuse others
Send unsolicited promotions (spam)
Share personal or sensitive information of others without consent
Impersonate others or create fake accounts
SetFlip may monitor communications for abuse or violations.
6. Paid Services and Promotions
SetFlip offers paid services such as:
Featured/pinned ads
Sponsored placements
Dealer tools and analytics
Additional exposure for listings
All purchases are final unless otherwise stated. Pricing, features, and terms may change at any time. Refunds are not guaranteed.
7. Reviews and Ratings
Users may leave reviews and ratings for other users, including businesses. You agree:
To leave honest and factual feedback
Not to post defamatory, offensive, or fake reviews
That SetFlip may remove or moderate reviews at its discretion
SetFlip is not liable for user-submitted reviews or ratings.
8. Intellectual Property
The Service and all SetFlip content (excluding user content) are protected by copyright, trademark, and other laws. You may not:
Copy, modify, or distribute our materials
Use our branding without prior written consent
Reverse-engineer or scrape our platform
9. DMCA Policy
If you believe your copyrighted work has been used in a way that constitutes copyright infringement, please contact us at support@setflip.com with a formal DMCA notice.
SetFlip respects intellectual property and will remove infringing content in accordance with the Digital Millennium Copyright Act.
10. Indemnification
You agree to defend, indemnify, and hold harmless SetFlip, its owners, affiliates, employees, and partners from any claims, losses, liabilities, damages, or expenses (including legal fees) arising out of:
Your use of the Service
Your content or conduct
Violation of these Terms or any applicable laws
Disputes with other users
11. Disclaimers
SetFlip provides the Service "as is" and "as available" with no warranties or guarantees of any kind. We do not guarantee:
The accuracy or reliability of listings
That buyers or sellers will follow through
Continuous or error-free access to the Service
Use the platform at your own risk. Always meet in safe locations and take necessary precautions.
12. Limitation of Liability
To the fullest extent permitted by law, SetFlip shall not be liable for:
Any indirect, incidental, or consequential damages
Loss of data, revenue, or profits
Disputes between users
Any content posted by users or third parties
Our total liability in any case shall not exceed the greater of $100 or the amount you paid to us in the past 12 months.
13. Dispute Resolution & Arbitration
Any disputes arising out of or relating to these Terms or your use of SetFlip shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to bring or participate in any class action lawsuits.
This provision does not apply to claims for injunctive relief or intellectual property violations.
14. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be heard exclusively in the state or federal courts located in New Jersey, unless resolved via arbitration.
15. Termination
We reserve the right to suspend or terminate your account, remove content, or restrict your access to SetFlip at any time, with or without notice, for any reason including violation of these Terms.
16. Changes to These Terms
We may update these Terms from time to time. We will post the new version with a revised effective date. Continued use of the Service means you accept the updated Terms.
17. Privacy
Use of SetFlip is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our privacy practices.
